Terms of Service for Amigo AI

Effective Date: February 4th, 2026

Welcome to Amigo! These Terms of Service ("Terms") govern your use of Amigo, a face fusion video chatting mobile application provided by Amigos AI Inc. ("Amigo," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

Key Definitions: In these Terms: "Services" means the Amigo application, website, and related features; "User Content" means photos, videos, audio, text, prompts, and any other inputs you upload or submit; "Transformed Content" means outputs, previews, exports, face swap results, and any derivatives generated by the Services; "Biometric Data" means facial images, facial geometry, facial landmarks, face embeddings, feature vectors, and any data derived from facial analysis, whether or not the original image is retained; "Service Providers" means third-party vendors providing cloud hosting, analytics, content moderation, payment processing, and similar operational services on our behalf.

1. Description of Services

Amigo offers a mobile application that allows users to engage in face fusion video chatting. Our services are designed for personal use and entertainment. We also keep you updated with the latest news, announcements, and developments related to Amigo and our suite of products and services. Furthermore, the app showcases potential in-app partnerships, collaborations, and integrations that may benefit users. For businesses interested in leveraging our technology, the app provides information on business-to-business solutions offered by Amigo. From time to time, we may also use the app for other purposes which will be clearly stated.

2. Eligibility

You must be at least 18 years old to use our services. If you are under 18 (or the age of legal majority where you live), please do not use or access our service at any time or in any manner. We do not knowingly collect or process data from individuals under 18. We rely on your representation of age and do not independently verify age; however, we reserve the right to request proof of age at any time and may suspend or terminate accounts pending verification or if we have reason to believe a user is underage.

If you are accessing or using our Services on behalf of another person, you represent that you are authorized to accept this Agreement on behalf of that person and that the person agrees to be responsible to us if you or the other person violates this Agreement.

Our Services are designed primarily for personal use and entertainment. You may share content created using the Services on personal social media accounts. However, you may not: (a) sell, license, or commercially distribute content created using the Services as a standalone product; (b) use the Services to provide face swap services to third parties for compensation; (c) integrate the Services into any commercial application or service without Amigo's prior written consent; or (d) use the Services for systematic commercial content production (e.g., content farms, batch processing for resale, studio-scale production, or automated content generation). If you are a legal entity or an individual accessing or using these Services on behalf of a legal entity for commercial purposes, please contact us for commercial licensing options.

You are responsible for making all arrangements necessary to access and use the Services. You are responsible for all use of the Services via your account.

3. User Content

Ownership and Rights: You retain ownership of any User Content you create or upload while using Amigo. However, you grant Amigo a non-exclusive, royalty-free, worldwide license to host, store, reproduce, process, modify for formatting and compatibility, transmit, and display such User Content solely to provide, maintain, improve, and enforce the Services and these Terms. This license terminates when you delete your User Content or account, except for: (a) content you have shared with others who have not deleted it; (b) reasonable backup copies; and (c) data retained for legal compliance, safety, or fraud prevention as described in our Privacy Policy.

Responsibility: Users must ensure they have the rights to the content they upload and are responsible for any legal issues arising from the content, including intellectual property violations.

Restrictions: Users are prohibited from sharing content that is defamatory, obscene, pornographic, indecent, or otherwise harmful. You may not upload content that you do not own the rights to or that violates intellectual property laws.

You acknowledge that some of the Services are supported by advertising revenue and may display sponsored advertisements and promotions, and you hereby agree that Amigo may place such sponsored advertising and promotions on the Services or as watermark on Transformed Content. The manner, mode and extent of such advertising and promotions are subject to change without specific notice to you. We will identify sponsored content and paid promotions where required by applicable law.

You are solely responsible for User Content that you upload to the Services or otherwise make available to us or others through the Services, including by selecting, posting, publishing, or displaying via the Services or by texting, emailing or otherwise making available to us or others. You represent and warrant that: (i) you own or otherwise have the right to use the User Content; (ii) you agree to pay for all royalties, fees, and any other monies owed by reason of User Content; and (iii) you have the legal right and capacity to enter into this Agreement in your jurisdiction.

You will comply with all relevant laws, regulations and policies applicable in your jurisdiction when transferring your User Content or Transformed Content to Amigo, including but not limited to applicable intellectual property rights and data protection and privacy laws.

You understand that the technical processing and transmission of the Services, including your User Content, may involve (i) transmissions over various networks; and (ii) changes to conform and adapt to technical requirements of connecting networks or devices.

4. Prohibited Conduct and Content

You must not violate any applicable law, breach any contract, infringe any intellectual property rights or other third-party right, or commit a tort, and you are solely responsible for your conduct while accessing or using our Services. You agree to strictly abide by the content of this Agreement and with relevant national laws, regulations, and rules. When accessing or using the Services, users are prohibited from:

  • Engaging in unlawful, defamatory, obscene, or otherwise objectionable conduct.
  • Uploading content that they do not have the rights to or that violates intellectual property laws.
  • Using the service for commercial purposes or distributing commercial content.
  • Harassing, bullying, or stalking other users.
  • Using the service if under the age of 18 or if previously banned from the service.
  • Sharing content that is defamatory, obscene, pornographic, indecent, or otherwise harmful.
  • Engaging in any activity that would constitute, encourage, or provide instructions for a criminal offense.
  • Impersonating or misrepresenting affiliations with any person or entity.
  • Interfering with or disrupting the services or networks connected to the services.
  • Promoting, advertising, or offering any commercial services when using our services.
  • Providing any content that violates our Terms and Guidelines of Service, the rights of other users, or may be viewed as obscene or offensive to others.

Underage Content: Use of face swap, facial transformation, or facial manipulation features on images or videos of individuals under the age of 18 is strictly prohibited, regardless of context, intent, or your relationship to the minor. Users found to be processing, sharing, or uploading face swap content involving minors will have their access to Amigo services terminated immediately and may be reported to law enforcement authorities. For clarity, this prohibition applies to face swap processing, not to incidental appearance of minors in unprocessed background content.

Developing or using third-party applications that interact with our Services without our prior written consent, including any scripts designed to scrape or extract data from our Services.

Displaying, mirroring, or framing our Services, or any individual element within our Services, the company's name, trademark, logo, or other proprietary information without our express written consent.

4A. Face Swap Technology - User Responsibility and Consent

⚠️ IMPORTANT SAFETY NOTICE: Face swap technology can be misused. The following are strictly prohibited and may result in immediate termination and law enforcement referral: (1) Non-consensual intimate imagery ("deepfake pornography"); (2) Face swapping on minors under any circumstances; (3) Fraud, impersonation, or identity theft; (4) Harassment, defamation, or threats against any person. You must have consent from every person whose face you use. See detailed rules below.

4A.1. Neutral Technology Provider: Amigo provides face swap technology as a neutral tool. Amigo does not create, direct, or control the content users generate. Users are solely and exclusively responsible for all content they create, upload, process, or share using our face swap features. Amigo bears no responsibility whatsoever for how users choose to use this technology.

4A.2. Mandatory Consent Requirement: By using our face swap features, you represent and warrant that you have obtained explicit, informed consent from every identifiable individual whose face, likeness, or image you use, upload, or process through our Services. You acknowledge that using another person's face or likeness without their consent may violate their privacy rights, rights of publicity, personality rights, image rights, and similar rights under applicable law. This includes but is not limited to celebrities, public figures, and private individuals. YOU ASSUME ALL LEGAL RISK AND LIABILITY FOR FAILING TO OBTAIN PROPER CONSENT, INCLUDING ANY CLAIMS FOR VIOLATION OF PUBLICITY RIGHTS, PRIVACY RIGHTS, OR PERSONALITY RIGHTS.

4A.3. Prohibited Face Swap Uses: In addition to the prohibited conduct in Section 4, users are strictly prohibited from using our face swap technology to:

  • Create non-consensual intimate or sexual imagery of any person ("deepfake pornography");
  • Impersonate any person for fraudulent, deceptive, or malicious purposes;
  • Create content intended to defame, harass, threaten, stalk, or harm any person;
  • Commit or facilitate identity theft, fraud, or any criminal activity;
  • Create misleading political content, election interference material, or disinformation;
  • Violate any person's right of privacy, right of publicity, or intellectual property rights;
  • Use face swap, facial transformation, or facial manipulation features on images or videos of individuals under the age of 18, regardless of context, intent, or relationship to the minor;
  • Bypass, circumvent, or defeat any content moderation or safety features;
  • Create content that violates any applicable local, state, national, or international law.

4A.4. User Assumption of Risk: You acknowledge that face swap technology can be misused and that you assume all risks associated with your use of this technology. You understand that you may be subject to civil liability or criminal prosecution for misuse of face swap technology under applicable laws, including but not limited to state deepfake laws, the federal TAKE IT DOWN Act, laws against fraud, defamation, harassment, and invasion of privacy. AMIGO IS NOT RESPONSIBLE FOR ANY LEGAL CONSEQUENCES YOU MAY FACE AS A RESULT OF YOUR USE OF OUR SERVICES.

4A.5. Content Moderation: Amigo does not generally pre-screen user content and does not actively monitor all content. However, Amigo may, at its sole discretion, use automated or manual review systems to detect, prevent, or remove content that violates these Terms or applicable law. Amigo reserves the right (but not the obligation) to review, refuse, remove, or disable access to any content at any time, for any reason, without notice. The presence or absence of such measures does not constitute a warranty, guarantee, or assumption of liability by Amigo, nor does it constitute approval of any content.

4A.6. Cooperation with Authorities: Amigo will cooperate with law enforcement agencies, regulatory authorities, and courts in connection with any investigation, legal proceeding, or request for information related to suspected illegal activity or violations of these Terms, consistent with applicable law and our Privacy Policy. This includes disclosing user information, content, and usage data as required by valid legal process.

4A.7. Content Removal and TAKE IT DOWN Act Compliance: In compliance with applicable laws including the federal TAKE IT DOWN Act, Amigo maintains procedures to receive and process requests for removal of non-consensual intimate imagery. If you believe content created using our Services violates your rights, contact us at hi@amigoai.io. Amigo will process valid takedown requests in accordance with applicable law.

4A.8. AI-Generated Content Disclosure: You acknowledge that content created using our face swap features constitutes AI-generated or AI-altered content. You are solely responsible for disclosing the AI-generated nature of such content where required by law or platform policies. Amigo may, where technically feasible, apply labels, watermarks, or metadata indicating AI-generated or AI-altered content. Such measures, where implemented, do not relieve you of your independent legal disclosure obligations, including but not limited to requirements for political advertising, commercial endorsements, and social media distribution. Failure to properly disclose AI-generated content may violate laws in your jurisdiction and platform terms of service.

4A.9. Jurisdictional Compliance: Laws regarding face swap technology, deepfakes, biometric data, and synthetic media vary by jurisdiction. YOU ARE SOLELY RESPONSIBLE for understanding and complying with all laws applicable to your use of our Services in your jurisdiction. Amigo makes no representation that use of our Services is legal or appropriate in any particular jurisdiction.

4A.10. Biometric Information Consent: You acknowledge that facial images, facial geometry, facial feature data, and facial likeness constitute biometric identifiers or biometric information under certain laws, including but not limited to the Illinois Biometric Information Privacy Act (BIPA), Texas Capture or Use of Biometric Identifier Act, Washington Biometric Privacy Law, and similar laws in other jurisdictions. By uploading, processing, or submitting any face, image, or likeness through our Services, you represent and warrant that: (a) you have obtained all legally required consents, including written consent where required by law, for the collection, use, processing, storage, and disclosure of such biometric data by Amigo and its service providers; (b) you have provided all required disclosures to such individuals regarding the purpose and duration of biometric data use; and (c) you will indemnify Amigo for any claims arising from your failure to obtain proper biometric consent. Amigo processes facial data solely to provide the face swap functionality and does not sell biometric data to third parties.

4A.11. Abuse Reporting: If you believe content created using our Services violates these Terms, applicable law, or your rights, you may report it to hi@amigoai.io. Amigo will review reports and take appropriate action at its sole discretion. Submitting false, fraudulent, or abusive reports may result in suspension or termination of your account.

4A.12. Technology Limitations: Face swap results are generated algorithmically using artificial intelligence and may be inaccurate, distorted, unrealistic, or misleading. Amigo does not guarantee the realism, accuracy, quality, or suitability of any generated content for any purpose. You acknowledge that AI-generated content may contain artifacts, errors, or unintended alterations. Amigo shall not be liable for any claims arising from the quality, appearance, or perceived realism of generated content.

5. Privacy

Please refer to our Privacy Policy for information on how we collect, use, and share your information. Data retention and deletion practices, including retention of Biometric Data, hashes, embeddings, and logs for safety, fraud prevention, and abuse investigation purposes, are described in our Privacy Policy.

5A. Copyright and Intellectual Property (DMCA)

Respect for Intellectual Property: Amigo respects the intellectual property rights of others and expects users to do the same. We respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us.

DMCA Notice: If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our designated Copyright Agent with the following information: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and its location on the Services; (d) your contact information (address, telephone number, email); (e) a statement that you have a good faith belief that use of the material is not authorized; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Repeat Infringer Policy: In accordance with the Digital Millennium Copyright Act and other applicable law, we have adopted a policy of terminating, in appropriate circumstances, users who are deemed to be repeat infringers. We may also, at our sole discretion, limit access to the Services and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

Counter-Notice: If you believe your content was removed by mistake or misidentification, you may submit a counter-notice to our Copyright Agent with the required information under the DMCA. Please consult legal counsel before submitting a counter-notice.

6. Indemnification

You agree to defend, indemnify, and hold harmless Amigo, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of our Services; (b) any content you create, upload, process, or share using our Services, including any face swap content; (c) your violation of these Terms; (d) your violation of any rights of any third party, including but not limited to privacy rights, publicity rights, personality rights, biometric privacy rights, intellectual property rights, or any claim that your content caused damage to a third party; (e) your failure to obtain proper consent, including biometric consent, from individuals whose faces or likenesses you use; (f) any claim that your use of our face swap technology violated any applicable law; and (g) any claim arising from content you created being used by third parties; in each case, to the extent such claims arise from your acts, omissions, content, or violations of these Terms. This indemnification obligation will survive the termination of these Terms and your use of the Services.

7. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind. We disclaim all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, secure, or error-free.

8. Limitation of Liability

To the maximum extent permitted by law, Amigo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (a) your use or inability to use the services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party; or (e) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the services.

No Liability for User Content: UNDER NO CIRCUMSTANCES SHALL AMIGO BE LIABLE FOR ANY CONTENT CREATED BY USERS USING OUR FACE SWAP TECHNOLOGY, INCLUDING BUT NOT LIMITED TO ANY CLAIMS ARISING FROM DEFAMATION, INVASION OF PRIVACY, RIGHT OF PUBLICITY VIOLATIONS, INTELLECTUAL PROPERTY INFRINGEMENT, FRAUD, HARASSMENT, OR ANY OTHER HARM CAUSED BY USER-GENERATED CONTENT. USERS CREATE CONTENT AT THEIR OWN RISK AND BEAR SOLE RESPONSIBILITY FOR ALL CONSEQUENCES.

Maximum Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMIGO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO AMIGO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Jurisdictional Limitations: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages. If you are a consumer in such a jurisdiction, some or all of the above limitations and exclusions may not apply to you, and you may have additional rights. Nothing in these Terms excludes or limits our liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by our negligence to the extent such exclusion or limitation is prohibited by applicable law.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

Informal Resolution First: Before initiating any formal dispute proceeding, you agree to first contact us at hi@amigoai.io and attempt to resolve the dispute informally for at least thirty (30) days. In your notice, please include your name, account information, a brief description of the dispute, and the resolution you are seeking. Most disputes can be resolved through this informal process.

Binding Arbitration: If we cannot resolve the dispute informally within 30 days, any disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. Both parties waive the right to a trial by jury and to participate in a class action. The arbitration will be conducted in English and the arbitrator's decision will be final and binding.

Exceptions: Either party may bring a claim in small claims court if it qualifies. Either party may seek injunctive relief in any court of competent jurisdiction for infringement or misappropriation of intellectual property rights.

International Users: If binding arbitration or class action waiver is prohibited by applicable law in your jurisdiction, disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in such courts. If any portion of this arbitration provision is found unenforceable, the remainder shall continue in effect.

10. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website and/or through the app. Your continued use of the services after the changes become effective constitutes your acceptance of the new Terms.

11. Termination and Enforcement

Amigo may, at its sole discretion, issue warnings, temporarily suspend access, limit features, or permanently terminate accounts for violations of these Terms. The severity of enforcement action is determined by Amigo based on the nature, frequency, and severity of violations. Amigo is not obligated to provide graduated enforcement and may proceed directly to termination for serious violations, including but not limited to violations of Section 4A. We may terminate or suspend your access to the services at any time, without prior notice or liability, for any reason whatsoever, including but not limited to a breach of these Terms. Upon termination, your right to use the services will immediately cease. Termination does not relieve you of your obligations under these Terms, including indemnification obligations. Following termination, we may retain data as necessary to comply with legal obligations, enforce these Terms, resolve disputes, and prevent fraud or abuse, as described in our Privacy Policy.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

13. Entire Agreement

These Terms constitute the entire agreement between you and Amigo regarding the use of our services and supersede any prior agreements between you and Amigo.

14. Additional Terms

User Accounts: Access to your User Account and use of our services is gained through a login username and password or a social network account. Users are responsible for the security of their account credentials. Any actions performed using your credentials are considered to be performed by you unless there is clear proof of fraud.

Service Interruptions: Amigo reserves the right to stop functioning temporarily or indefinitely to perform maintenance or updates. We are not responsible for any issues or harm experienced due to technical reasons, such as server malfunctions, hardware or software issues, or hacker attacks.

Content Removal: Amigo reserves the right to delete any content that violates these Terms without prior notice.

Paid Services: Some features in our services are paid services and may not be transferred to third parties. Payments for these services are final and generally not subject to refunds, except where required by applicable consumer protection law in your jurisdiction.

External Links: Amigo may include links to external websites but is not responsible for the content or security of these sites.
